NDA

NDA contracts use a different set of fields focused on confidentiality scope, party obligations, and legal provisions, plus an automated risk indicator assessment.

Overview

NDAs surface execution dates and the extended confidentiality period instead of the standard renewal fields.

Field	Description
`term_start_date`	Calendar date on which the agreement begins
`term_end_date`	Calendar date on which the term ends
`cancel_date`	Date by which the agreement must be cancelled
`execution_date`	The date the agreement was signed
`subscription_term`	Length of the term, in months
`extended_confidentiality_period`	Period beyond the term that confidentiality obligations continue

Scope and definition of confidentiality

Field	Description
`purpose`	Relationship between the parties and what the agreement obliges them to
`mutual_nda`	Identifies the NDA as unilateral or bilateral
`confidential_information`	General and specific nature of the information to be shared
`permitted_use`	What either party can and cannot do with confidential information
`term_termination`	Length of the agreement and how it can be ended

Obligations and protective measures

Field	Description
`non_use_non_disclosure`	Restrictions on disclosure and use of confidential information
`maintenance_of_confidentiality`	Obligations for maintaining discretion
`no_obligation`	What the agreement does not require either party to do
`no_license_ownership`	Persistence of property rights over shared and newly created IP
`exclusions_exceptions`	Carve-outs not covered by the agreement
`non_solicitation_of_employees`	Restrictions on hiring counterparty employees
`data_disposal_tnc`	Disposal obligations on termination

Remedies and legal provisions

Field	Description
`remedies`	Entitlements of either party in case of breach
`no_warranty`	Warranties either party does or does not make
`disclosure_required_by_law`	Handling of legally compelled disclosure
`arbitration_and_conflict_resolution`	Jurisdictional and venue stipulations
`miscellaneous`	Anything not effectively covered elsewhere

NDA risk indicators

NDAs include an automated risk assessment surfaced as nda_risks.

Risk level is computed from 7 binary indicators: High (4+ flags), Medium (1–3 flags), Low (0 flags).

Field	Description
`perpetual_nda`	The NDA is ongoing with no end-of-term date specified.
`unilateral_nda`	Obligates only the signing party to confidentiality.
`non_solicitation`	Obligates one or both parties not to hire each other’s employees.
`uncapped_liability`	No upward limit on monetary damages or other liabilities either party can incur.
`foreign_jurisdiction`	Controversies will be adjudicated outside the United States.
`no_carve_out_provisions`	Fails to stipulate what isn’t confidential information (e.g. publicly known information, compelled disclosure).
`post_end_of_term_obligations`	Confidentiality obligations continue beyond the end of term.
